FIDIC(2012-11-2007:43:35)转载标签:分类:工程设计施工采购监理招标金皮书11Testing试验ll.lTestingoftheWorks工程试验TheContractorshallcarryouttheTestsonCompletionofDesign-BuildinaccordancewiththisClauseandSub-Clause7.4Testing,afterprovidingthedocumentsinaccordancewithSubClause5.5As-BuiltDocumentsandSub-Clause5.6OperationandMaintenanceManuals.TheContractorshallgiveNoticetotheEmployersRepresentativenotlessthan21dayspriortothedateafterwhichtheContractorwillbereadytocarryouteachoftheTestsonCompletionofDesign-Build.Unlessotherwiseagreed,TestsonCompletionofDesign-Buildshallbecarriedoutwithin14daysafterthisdate,onsuchdayordaysastheEmployersRepresentativeshallinstruct.UnlessotherwisestatedintheParticularConditions,theTestsonCompletionofDesign-BuildshallbecarriedoutinthefollowingsequenceandarefurtherdetailedintheEmployersRequirements:承包商在根据FIDIC金皮书5.5(竣工文件)和FIDIC金皮书5.6(操作和维修手册)所述提交文件后,应根据本款和FIDIC金皮书7.4(试验)进行设计建造竣工试验。

承包商应提前21天将某一确定日期通知业主代表,说明在该日期后他将准备好进行每一项设计建造竣工试验除非另有商定,此类试验应在该日期后14天内于业主代表指示的某日或数日内进行除非专用条件中另有规定,竣工试验应按下述程序以及业主要求中规定的详细细节进行:(a)pre-commissiopningtests,whichshallincludetheappropriateinspectionsand(“dry”or“cold”)functionalteststodemonstratethateachitemofPlantcansafelyundertakethenextstage,(b);预试运行检验,其中包括适当的检查和(干或冷)功能性检验,以证明每一项生产设备都能安全地进入下一阶段(b);(b)Commissioningtests,whichshallincludethespecifiedoperationalteststodemonstratethattheWorksorSectioncanbeoperatedsafelyandasspecified,underallavailableoperatingconditions;and试运行试验,其中包括规定的操作检验,以证明工程和单位工程能安全运行,并能根据规定在一切可获得的运行条件下运行;以及(c)Trialoperation,whichshalldemonstratethattheWorksorSectionperformreliablyandinaccordancewiththeContract.试运营,以证明工程和单位工程能可靠地并使用并符合合同规定。

TheEmployershallbethesolebeneficiaryofanyrevenueorbenefitresultingfromtheTestsonCompletionofDesign-Build.Duringtrialoperation,whentheWorksareoperatingunderstableconditions,theContractorshallgiveNoticetotheEmployersRepresentativethattheWorksarereadyforanyotherTestsonCompletionofDesign-Build,includingperformanceteststodemonstratewhethertheWorksconformwithcriteriaspecifiedintheEmployersRequirementsandwiththeSchedulesofGuarantees.TrialoperationshallnotconstituteacommencementoftheOperationServiceunderSub-Clause10.2 CommencementofOperationService.InconsideringtheresultsoftheTestsonCompletionofDesign-Build,theEmployersRepresentativeshallmakeallowancesfortheeffectofantuseoftheWorksbytheEmployerontheperformanceorothercharacteristicsoftheWorks.AssoonastheWorks,oraSection,havepassedeachoftheTestsonCompletionofDesign-BuilddescribedinSub-paragraph(a),(b)or(c)above,theContractorshallsubmitareportcertifiedbytheContractoroftheresultsoftheseTeststotheEmployersRepresentative.除非专用条件中另有规定,试运营期间,工程生产的任何产品应归业主所有。

在试运营过程中,当工程是在稳定条件下运行时,承包商应通知业主代表,工程已经准备就绪,可以进行任何其它的设计建造竣工试验,包括性能测试?,以证明工程是否符合业主要求中规定的标准,并符合保证资料表试运营并不构成FIDIC金皮书10.2(运营服务的开始)中规定的运营服务开始在考虑设计建造竣工试验结果时,业主代表应考虑到因业主对工程的任何使用而对工程的性能或其他特性所产生的影响一旦工程或某一单位工程通过了(a),(b)或2)段中所述的每一设计建造竣工试验,承包商应向业主代表提交一份有关此类试验结果的证明报告11.2 DelayedTestsonCompletionofDesign-Build设计建造竣工试验的延误IftheTestsonCompletionofDesign-BuildarebeingundulydelayedbytheEmployer,SubClause7.4Testing(fifthparagraph)shallbeapplicable.IftheTestsonCompletionofDesign-BuildarebeingundulydelayedbytheContractor,theEmployersRepresentativemaybyNoticerequiretheContractortocarryoutsuchTestswithin21daysafterreceivingtheNotice.TheContractorshallcarryoutsuchTestsonthedayordayswithinthatperiodastheContractormayfixandofwhichheshallgiveNoticetotheEmployersRepresnetative.IftheContractorfailstocarryouttheTestsonCompletionofDesign-Buildwithintheperiodof21days,theEmployersPersonnelmayproceedwiththeTestsattheriskandcostoftheContractor.TheTestsonCompletionshallthenbedeemedtohavebeencarriedoutinthepresenceoftheContractorandtheresultsoftheTestsshallbeacceptedasaccurate.如果业主无故延误设计建造竣工试验时,则FIDIC金皮书7.4(试验)(第五段)将适用。

如果承包商无故延误设计建造竣工试验,业主代表可通知承包商,要求他在收到该通知后21天内进行此类试验承包商应在该期限内他可能确定的某日或数日内进行检验,并将此日期通知业主代表若承包商未能在21天的期限内进行竣工检验,业主的人员可着手进行此类检验,其风险和费用均由承包商承担此类竣工试验应被视为是在承包商在场的情况下进行的,且试验结果应被认为是准确的11.3 RetestingoftheWorks工程重新试验IftheWorks,oraSection,failtopasstheTestsonCompletionofDesign-Build,Sub-Clause7.5Rejectionshallapply,andtheEmployersRepresentativeortheContractormayrequirethefailedTests,andTestsonCompletionofDesign-Buildonanyrelatedwork,toberepeatedunderthesametermsandconditions.如果工程或某一单位工程未能通过设计建造竣工试验,则FIDIC金皮书7.5(拒收)将适用,且业主代表或承包商可要求按相同条款或条件,重新进行此类未通过的试验以及对任何相关工作的设计建造竣工试验。

11.4FailuretoPassTestsonCompletionofDesign-Build未能通过设计建造竣工试验IftheWorks,oraSection,failtopasstheTestsonCompletionofDesign-BuildrepeatedunderSub-Clause11.3RejectionoftheWorks,theEmployersRepresentativeshallbeentitledto:(a)OrderfurtherrepetitionofTestsonCompletionofDesign-BuildunderSub-Clause11.3RetestingoftheWorks;or(b)IssueaNoticeunderSub-Clause15.1NoticetoCorrect.如果工程或某一单位工程未能通过根据FIDIC金皮书11.3(工程重新试验)所进行的重复设计建造竣工试验时,则业主代表应有权:(a)指示根据FIDIC金皮书11.3(工程重新试验)再进行一次重复的设计建造竣工试验;(b)根据FIDIC金皮书15.1(通知改正)签发通知11.5CompletionoftheWorksandSection工程和单位工程的竣工ExceptasstatedinSub-Clause11.11failuretoPassTestsPriortoContractCompletion,theWorksshallbedeemedbytheEmployertobecompletedwhen:除了FIDIC金皮书11.11(未能通过合同完成前试验)情况外,当下列情况时工程被视同完成:(a)TheworkshavebeencompletedinaccordancewiththeContract,includingthemannersdescribedinSub-Clause9.2TimeforCompletionofDesign-BuildandSub-Clause5.6OperationandMaintenanceManualsandexceptasallowedinsub-paragraph(i)below;and工程根据合同已竣工,包括FIDIC金皮书9.2(设计建造的竣工时间)和FIDIC金皮书5.6(操作和维修手册)中所述事宜,但下面段所述情况除外,以及(b)ACommissioningCertificatehasbeenissued,orisdeemedtohavebeenissued,inaccordancewiththisSub-Clause.TheContractormayapplybyNoticetotheEmployersRepresentativeforaCommissioningCertificatenotearlierthan14daysbeforetheWorkswill,intheContractorsopinion,becompleteandreadyforcommencementoftheOperationServicePeriod.IftheWorksaredividedintosections,theContractormaysimilarlyapplyforaCommissioningCertificateforeachSection.根据本款规定试运行证书已经签发或者被视为签发。

承包商可在他认为工程将完工并准备运营服务开始前14天内,向业主代表发出申请试运行证书的通知如果工程分为单位工程,则承包商应同样为每一单位工程申请试运行证书业主代表在收到承包商的申请后28天内,应TheEmployersRepresentativeshall,within28daysafterreceivingtheContractorsapplication:(i)IssuetheCommissioningCertificatetotheContractor,statingthedateonwhichtheWorksorSectionwerecompletedinaccordancewiththeContract,exceptforanyminoroutstandingworkanddefectswhichwillnotsubstantiallyaffecttheuseoftheWorksorSectionfortheirintendedpurposes(listingsuchoutstandingworkanddefectswhicharetoberemedied);or(ii)Rejecttheapplication,givingreasonsandspecifyingtheworkrequiredtobedonebytheContractortoenabletheCommissioningCertificatetobeissued.TheContractorshallthencompletetheworkreferredtoinsub-paragraph(ii)abovebeforeissuingafurtherNoticeunderthisSub-Clause.IftheEmployersRepresentativeeitherfailstoissuetheCommissioningCertificateorrejecttheContractorsapplicationwithintheperiodof28days,andiftheWorksorSection(asthecasemaybe)aresubstantiallyinaccordancewiththeContract,theCommissioningCertificateshallbedeemedtohavebeenissuedonthelastdayofthatperiod.G)向承包商颁发试运行证书,说明根据合同工程或单位工程完工的日期,但某些不会实质影响工程或单位工程按其预定目的使用的少量扫尾工作以及缺陷除外(列明此类扫尾工作及应修复的缺陷);或(ii)驳回申请,说明理由及为使试运行证书得以颁发承包商尚需完成的工作。

随后承包商应在根据上述(ii)段发出进一步通知前,完成此类工作若在28天期限内业主代表既未颁发试运行证书也未驳回承包商的申请,而当工程或单位工程(视情况而定)实质性符合合同要求时,应认为在上述期限内的最后一天已经颁发了试运行证书11.6CommissioningofPartsoftheWorks部分工程的试运行TheEmployersRepresentativemay,attherequestoftheContractor,issueaSectionCommissioningCertificateforanypartofthePermanentWorks.IfaSectionCommissioningCertificatehasbeenissuedforapartoftheWorks,thedelaydamagesthereafterforcompletionoftheremainderoftheWorksshallbereduced.Similarly,thedelaydamagesfortheremainderoftheSection(ifany)inwhichthispartisincludedshallalsobereduced.ForanyperiodofdelayafterthedatestatedinthisSectionCommissioningCertificate,theproportionalreductioninthesedelaydamagesshallbecalculatedastheproportionwhichthevalueofthepartsocertifiedbearstothevalueoftheWorksorSection(asthecasemaybe)asawhole.TheEmployersRepresentativeshallproceedinaccordancewithSub-Clause3.5Determinationstoagreeordeterminetheseproportions.TheprovisionsofthisparagraphshallonlyapplytothedailyrateofdelaydamagesunderSub-Clause9.6DelayDamagesrelatingtoDesign-Build,andshallnotaffectthemaximumamountofthesedamages(ifany).业主代表可以在承包商的要求下签发永久工程任何部分的单位工程试运行证书。

若对工程的某一部分颁发了单位工程试运行证书,则对于完成工程的剩余部分的误期损害赔偿费应减少同样,包含该部分的单位工程(如有时)的剩余部分的误期损害赔偿费也应减少对于该单位工程试运行证书注明的日期之后的任何拖延期间,误期损害赔偿费减少的比例应按已签发部分的价值相对于整个工程或单位工程(视情况而定)的总价值的比例计算业主代表应根据FIDIC金皮书3.5(确定),对此比例商定或做出决定本段规定仅适用于FIDIC金皮书9.6(设计建造的误期损害赔偿费)规定的误期损害赔偿费的日费率,但并不对其最大限额构成影响11.7CommissioningCertificate试运行证书PerformanceoftheContractorsDesign-Buildobligations,includingcareoftheWorks,shallnotbeconsideredtohavebeencompleteduntiltheCommissioningCertificatehasbeensignedbytheEmployersRepresentativeanddeliveredtotheContractor,statingthedateonwhichtheContractor,intheopinionoftheEmployersRepresentative,completedallsuchobligationsinaccordancewiththeContract(subjecttotheoutstandingworksanddefectslistedinaccordancewithSub-Clause11.5CompletionoftheWorksandSections).OnlytheCommissioningCertificateshallbedeemedtoconstituteacceptanceoftheWorks.在业主代表签发试运行证书并送至承包商,注明根据业主代表的意见,承包商完成了合同所有义务的时间(FIDIC金皮书11.5(工程和单位工程的竣工)中所述的遗留工程和列举的缺陷),此时表明承包商的设计建造义务包括工程的照管义务已经完成。

在收到承包商依据FIDIC金皮书11.5(工程和单位工程的竣工)所签发的试运行证书申请后的28天内,业主代表应向承包商签发试运行证书只有试运行证书构成了对工程的接受11.8JointInspectionPriortoContractCompletion合同完成前的联合检验NotlessthantwoyearspriortotheexpirydateoftheOperationServicePeriod,theEmployersRepresentativeandtheContractorshallcarryoutajointinspection,theContractorshallsubmitareportontheconditionoftheWorksidentifyingmaintenanceworks(excludingroutinemaintenanceworksandthecorrectionofdefects),replacementsandotherworksrequiredtobecarriedouttosatisfytherequirementsoftheOperationandMaintenancePlanaftertheContractCompletionDate.在运营服务期届满前两年之内,业主代表和承包商应进行工程的联合检验,并且在联合检验完成的28天之内,承包商应提交一份关于工程条件的报告,指出维修工作(不包括日常维修工作和缺陷纠正)、更换和其他工作,来满足合同完成日期后的运营与维修计划的要求。

TheContractorshallsubmitaprogrammeforcarryingoutsuchworksovertheremainderoftheOperationServicePeriod.承包商应提交一份计划来说明在余下的运营服务期如何完成这些工作FollowingreceiptoftheContractorsreport,theEmployersRepresentativemay,throughouttheremainderoftheOperationServicePeriod,instructtheContractortocarryoutallorpartoftheworksidentifiedintheContractorsreport.ThequotedsumsfromtheAssetReplacementFundwillbeaddedtothemonthlypaymentsuponthereplacementofitemsofPlantinaccordancewiththescheduleofreplacementpreparedatTenderstageandtheprovisionsofSub-Clause14.18AssetReplacementFund.OtherworksshallbecarriedoutattheContactorscost.在收到承包商的报告后,业主代表在整个运营服务余留期间可以指示承包商完成承包商报告中所列举的全部或部分工作。

根据投标阶段准备的资产置换资料表以及FIDIC金皮书14.18(资产置换基金)中的规定,资产置换基金所列钱款可用来更换生产设备的零件并添加到每月付款中其他工作均应由承包商自费进行UponsatisfactorycompletionoftheitemsidentifiedinthisSub-ClausetheEmployershallinstructtheContractortocommencetheTestspriortoContractCompletioninaccordancewithSubClause11.9ProcedureforTestPriortoContractCompletion.在本条款所列内容被完成后,业主应指示承包商根据FIDIC金皮书11.9(合同完成前试验程序)开始合同完成前试验11.9ProcedureforTestsPriortoContractCompletion合同完成前试验程序TheTestsPriortoContractCompletion(“Tests”)aretobecarriedoutbytheContractorwhoshallprovideallnecessarylabour,materials,electricity,fuelandwater,otherthanitemsidentifiedasbeingtheresponsibilityoftheEmployerunderSub-Clause10.4DeliveryofRawMaterials,andundertakeanyrequiredremedialworksasmayberequired.TheTestsaretobecarriedoutinaccordancewiththeEmployersRequirements.TheTestsshallbecarriedouttowardstheendoftheOperationServicePeriod.TheEmployershallgiveNoticetotheContractornotlessthan21dayspriortothedateafterwhichtheTestsshallbecarriedout.Unlessotherwiseagreed,suchTestsshallbecommencedwithin14daysafterthisdate,onthedayordaysdeterminedbytheEmployersRepresentative.TheresultsoftheTestsshallbecompiledandevaluatedbytheEmployersRepresentativeandtheContractor.TheContractorshallmaketheresultsofanytests,inspectionsormonitoringavailabletotheEmployersRepresentativewithin7daysoftheirreceipt.AnyeffectontheresultsoftheTestswhichcanbereasonablybeshowntobeduetoprioruseoftheWorksbytheContractorduringtheOperationServicePeriodshallbetakenintoaccountinassessingsuchresults.AssoonastheContractorhascompletedtheTests,theContractorshallnotifytheEmployersRepresentativethattheWorksarecompleteandreadyforfinalinspection.UpontheEmployersRepresentativebeingsatisfiedthattheContractorhassatisfiedtherequirementsoftheTestsregardingsuchfinalinspection,theEmployersRepresentativeshallnotifytheEmployerandtheContractorpriortotheissueoftheContractCompletionCertificate.合同完成前试验由承包商进行,应提供所有必要的劳力、材料、电力、燃料和水,但不负责FIDIC金皮书10.4(原材料的交付)下业主应负责的项目,并完成任何要求修复的工作试验根据业主要求进行。

试验全部在运营服务期结束时进行业主应在试验进行日期前至少21天通知承包商除非另有协议,此类试验将在此日期后的14天内完成该日期由业主代表确定试验结果应由业主代表和承包商汇编和评估承包商应在取得试验、检验或控制结果后的7天内送至业主代表任何试验结果合理表明承包商在运营服务期提前使用工程而受到影响,则该影响应在评审时考虑一旦承包商完成了试验,承包商应立即通知业主代表工程已经完成并且准备最后检验当业主代表认为承包商对此类最后检验已满足试验要求时,业主代表应通知业主和承包商说明其即将签发履约证书11.10DelayedTestsPriortoContractCompletion合同完成前试验的延误IftheEmployerincurscostasaresultofanyunreasonabledelaybytheContractorincarryingouttheTestsPriortoContractCompletion(“Test”),theEmployershallbeentitled,subjecttoSubClause20.2EmployersClaims,topaymentofanysuchcostwhichshallberecoverablefromtheContractorbytheEmployer,andmaybedeductedbytheEmployerfromanymoniesdue,ortobecomedue,totheContractor.IftheContractorfailstocommencetheTestsonthedayofdaysdeterminedunderSub-Clause11.9ProcedureforTestsPriortoContractCompletion,theEmployersRepresentativeshallgiveNoticetotheContractorthatunlesstheTestsarecommencedwithin14daysofthisNoticetheEmployersRepresentativemayorderthattheTestsbeundertakenbyothersonbehalfoftheEmployer.Insuchevent,theContractorshallbeboundbytheresultsofsuchTestsasbeingaccurateandtheEmployershallbeentitledtodeductthecostsassociatedwiththeundertakingoftheTestsbyothersfromanymoniesdue,ortobecomedue,totheContractor.IfforreasonsnotattributabletotheContractor,theTestsPriortoContractCompletionoftheWorks,oranySection,cannotbecompletedduringtheContractPeriod(oranyotherperiodagreeduponbybothparties),thentheWorksorSectionshallbedeemedtohavepassedtheTests.如果由于承包商的原因造成合同完成之前的试验不合理的延误,致使业主发生费用,业主有权根据FIDIC金皮书20.2(业主索赔)从承包商那里获得这些费用的补偿,并且这些费用可以从业主应支付承包商的钱款中抵扣。

如果承包商未能在FIDIC金皮书11.9(合同完成前试验程序)中确定的日期开始试验,业主代表应给承包商发出通知说明除非在收到此通知的14天内开始试验,业主代表可以指示其他人代表业主进行试验在此情况下,这些试验被视为准确,并且承包商受到此试验约束业主应有权从给承包商的应付款中扣除由第三方进行试验所发生的相关费用如果有关工程或单位工程的合同完成之前的试验不能在合同期(或任何双方当事人同意的其他期间)完成,其原因不是承包商造成的,那么工程或单位工程被视为通过了试验ll.llFailuretoPassTestsPriortoContractCompletion未能通过合同完成前试验IftheWorksoraSectionthereof,failstopasstheTestsPriortoContractCompletion(“Test”)underSub-Clause11.9ProcedureforTestsPriortoContractCompletion,theEmployersRepresentativeshallbeentitledto:如果工程或某一单位工程未能通过根据FIDIC金皮书11.9(合同完成前试验程序)所进行的合同完成前试验(“试验”)时,则业主代表应有权:(a)orderfurtherrepetitionofTestsunderSub-Clause11.12RetestingPriortoContractCompletion;(b)rejecttheWorksoraSectionthereof(asthecasemaybe),inwhicheventtheEmployershallhavethesameremediesagainsttheContractorasprovidedunderClause15TerminationbytheEmployer;or(c)issueaContractCompletionCertificate,iftheEmployersorequires.TheContractPriceshallthenbereducedbysuchanamountasmaybeagreedbytheEmployerandtheContractor(infullsatisfactionofsuchfailureonly).AndthecontractorshallthenproceedinaccordancewithhisotherobligationsundertheContract.(a)指示根据FIDIC金皮书11.12(合同完成前的重新试验)再进行一次重复的竣工试验;(b)拒收工程或单位工程(视情况而定),在此情况下,业主应获得与FIDIC金皮书15(由业主终止)中规定的相同的补偿;或(c)颁发一份履约证书(如果业主如此要求的话)。

合同价格应按照业主和承包商达成一致的金额相应减少(仅适用于完全承包商过错的情况)Intheeventof(c)above,iftheWorks,oraSection,failtopassanyoftheTestsandtheContractorproposestomakefulladjustmentsormodificationstotheWorksorsuchSection,theContractormaybeinstructedby(oronbehalfof)theEmployerthatrightofaccesstotheWorksorSectioncannotbegivenuntilatimethatisconvenienttotheEmployer.TheContractorshallthenremainliabletocarryouttheadjustmentsormodificationsandtosatisfythisTest,withinareasonableperiodofreceivingNoticeby(oronbehalfof)theEmployerofthetimethatisconvenienttotheEmployer.However,iftheContractordoesnotreceivethisNoticeduringtherelevantContractPeriod,theContractorshallberelievedofthisobligationandtheWorksorSection(asthecasemaybe)shallbedeemedtohavepassedtheTests.IftheContractorincursadditionalcostasaresultofanyunreasonabledelaybytheEmployerinpermittingaccesstotheWorksorPlantbytheContractorafterissueoftheContractCompletionCertificate,eithertoinvestigatethecausesofafailuretopassanyoftheTestsortocarryoutanyadjustmentsormodifications,theContractorshallbepaidtheadditionalCostPlusProfit,asdeterminedoragreedonaccordancewithSub-Clause3.5Determinations,causedbysuchadelay.承包商应根据合同继续履行他的义务。

在(c)段所述的情况下,如果工程或某一单位工程未能通过“试验”,并且承包商建议对工程或此类单位工程进行任何调整或修正,则业主(或业主代表)可以指示承包商,只有在业主方便的时候承包商才有进入工程或单位工程的道路通行权之后,承包商应在业主(或业主代表)通知的业主方便的合理的时间内,负责进行调整或修正,并满足此“试验”但是,如果承包商在相应的缺陷通知期?内没有收到此类通知,则应解除承包商的此类义务,并且工程或单位工程(视情况而定)应被视为已经通过了“试验”如果因为业主的无故拖延批准,影响承包商进入工程或到生产设备地点去调查未能通过“试验”之原因,或进行任何调整或修正,致使承包商产生了额外费用,承包商应有权获得依据FIDIC金皮书3.5(确定)确定的额外费用加利润11.12RetestingPriortoContractCompletion合同完成前的重新试验IftheWorks,oraSection,failtopasstheTestsPriortoContractCompletion:(a)sub-paragraph(b)ofSub-Clause12.1CompletionofOutstandingWorkandRemedyingDefectsshallapply;and(b)theEmployermayrequirethefailedTests,andtheTestsPriortoContractCompletiononanyrelatedwork,toberepeatedunderthesametermsandconditions.IfsuchfailureandretestingresultsfromadefaultoftheContractorandcausestheEmployertoincuradditionalcosts,suchcostsshallberecoverablefromtheContractorbytheEmployer,subjecttoSub-Clause20.2EmployersClaims,andmaybedeductedbytheEmployerfromanymoniesdue,ortobecomedue,totheContractor.TheEmployersRepresentativemaycarryoutsuchadditionaltests,inspectionsandmonitoringashedeemsnecessary.Thecostsofsuchtests,exceptwheresuchtestsarecarriedoutforthepurposeofremedyinganydamage,defaultorfailuretomeetthestandardsthataretheresponsibilityoftheContractorundertheContract,shallbebornebytheEmployer.如果工程,或某一单位工程,未能通过合同竣工前的试验:(a)FIDIC金皮书12.1(完成扫尾工作和修补缺陷)第(b)条将被采用;而且:(b)业主可要求在相同的规定和条件下重复进行失败的试验,及重复进行其所涉及的任何工作在合同竣工前的试验;如果失败试验和重新试验是由于承包商的失误,并造成业主发生额外费用,业主将根据FIDIC金皮书20.2(业主索赔)要求承包商补偿该额外费用,业主可以在向承包商支付的任何到期或即将到期的应付款项中扣除该费用。

业主代表认为有必要时,可以进行额外的试验、检查和监督除非这些试验是为了修复由于合同规定的承包商的责任所造成损坏、缺陷或者未能满足标准,试验的费用将由业主承担12Defects缺陷12.1CompletionofOutstandingWorkandRemedyingDefects完成扫尾工作和修补缺陷Therequirementsregardingthecompletionofoutstandingworkandremedyingofdefectsareasfollows:(a)Design-BuildPeriod:InorderthattheWorksandContractorsDocuments,andeachSection,shallbeintheconditionrequiredbytheContract,theContractorshall:(i)CompleteanyworkwhichisoutstandingonthedatestatedintheCommissioningCertificateassoonaspracticableaftersuchdate,andnotlaterthanoneyearaftersuchdate;and(ii)Executeallworkrequiredtoremedydefectsordamage,asmaybenotifiedby(oronbehalfof)theEmployer.FinalpaymentfortheDesign-Buildperiod,inaccordancewithClause14ContractPriceandPayment,willnotbecertifieduntiltheaboverequirementshave,intheopinionoftheEmployersRepresentative,beenmet.Ifadefectappearsordamageoccurs,theContractorshallbenotifiedaccordingly,by(oronbehalfof)theEmployer.(b)OperationServicePeriod:TheContractorshallberesponsibleforrepairingandmakingoodanydamageordefectoccurringduringtheOperationServicePeriod,whethersuchdefectordamageisnotifiedbytheEmployerorhisRepresentative,orobservedbytheContractorhimself.TheContractCompletionCertificateissuedunderSub-Clause8.6ContractCompletionCertificatewillnotbeissueduntilalldefectsanddamageandalloutstandingwork,includingallsuchitemsidentifiedduringthejointinspectionmadeinaccordancewithSub-Clause11.8JointInspectionPriortoContractCompletion,havebeencompleted.关于完成扫尾工作和修补缺陷的要求如下:(a)设计建造期:为了保证工程和承包商文件以及每个单位工程应达到合同条件的要求,承包商应G)在试运行证书注明的日期后,尽可能快地在一年内完成完成试运行证书所述的在该日期未完成的遗留工作;(ii)实施业主(或其代表)通知所要求的所有修复缺陷或损害的工作。

除非业主代表认为上述要求均已满足,否则不应根据FIDIC金皮书14条(合同价格和付款)对设计建造期的最终付款额进行确认如果出现缺陷或发生损害,业主(或其代表)应相应通知承包商b)运营服务期:发生在运营服务期的任何损害或缺陷,无论是业主或业主代表通知的,还是承包商自己发现的,承包商均应负责修复并使之完好只有所有缺陷和损害以及所有遗留工作包括根据FIDIC金皮书11.8(履约结束前的联合检验)进行联合检验所识别的事项完成后,才可依据FIDIC金皮书8.6(履约证书)签发履约证书12.2CostofRemedyingDefects修补缺陷的费用AllworkrequiredtorepairdefectsordamageshallbeexecutedattheriskandcostoftheContractor,except:(a)whereitisattributabletoanyactbytheEmployerortheEmployersPersonneloragents;or(b)WhereitisasaresultofaneventthatiscoveredunderClause18ExceptionalRisks.WheretheContractorisrequiredtoremedyadefectordamagetotheWorksundersubparagraphs(a)or(b)ofthisSub-Clause,theContractorshallnotifytheEmployersRepresentativeandshallbeentitledtoaVariationunderClause13VariationsandAdjustments.除了下面原因以外,所有要求进行修复缺陷或损害的工作应由承包商自担风险和费用进行(a)由于业主或业主人员的任何行为所导致,或(b)由于FIDIC金皮书18(例外风险)中的事件所导致。
